Notices and Disclaimers
PURPOSE AND SCOPE
This Notices and Disclaimers is issued by Arcadia Consulting Vietnam Company Limited (Arcadia Consulting Vietnam) for general information and introduction concerning overseas property. It is provided for marketing purposes and forms no part of any contract or service agreement.
It does not constitute, directly or by implication, an offer, invitation, proposal, sales letter, investment solicitation or any commitment in respect of unit allocation, reservation, the holding of any price, incentives, scheduling, handover standards or any other term of a transaction. It does not constitute legal, tax, accounting, immigration, foreign exchange, financial or investment advice, and it should not be relied upon as a basis for entering into, structuring or refraining from any transaction.
Laws, regulations, immigration frameworks, lending criteria and compliance requirements change over time and vary by jurisdiction.
OUR ROLE, CONFLICTS AND FEES
The role of Arcadia Consulting Vietnam in any project or transaction is determined solely by the written service agreement that applies between the parties. Nothing here appoints Arcadia Consulting Vietnam as buyer’s agent, seller’s agent, legal representative, escrow agent, trustee, financial adviser, tax adviser, immigration adviser or fiduciary.
Where Arcadia Consulting Vietnam assists, its work is limited to administrative connection and coordination, and it does not independently verify legal, technical, financial or tax information unless expressly agreed in writing. It holds no power to bind any developer, seller, lawyer, bank, payment provider or government body unless that party has authorized it in writing. Unless expressly agreed in writing, Arcadia Consulting Vietnam does not act exclusively for any investor and may communicate with developers, agents, legal advisors, banks, introducers and other participants for coordination.
Arcadia Consulting Vietnam may receive fees, commissions, referral fees, marketing fees or other remuneration from developers, vendors, master agents, selling agents, project agencies or other non-financing project participants in connection with the introduction, marketing or coordination of a project. Such remuneration may be payable even where no separate fee is charged to the investor. Further details will be provided where required by law or upon reasonable request before reservation or commitment.
Any bank, lender, mortgage broker, remittance provider, payment provider or financial institution involved in a transaction acts independently. Any financing, remittance, payment or banking arrangement is a matter between the investor and the relevant provider, subject to the investor’s own assessment and independent professional advice.
COMPLIANCE CHECKS
Investors may be required to complete Know Your Customer, Anti Money Laundering, sanctions, politically exposed person, source of funds and source of wealth checks requested by developers, banks, lawyers, payment providers, government authorities or other participants. A transaction may be delayed, suspended, declined or reported where applicable law or compliance policy requires.
PERSONAL DATA
Where Arcadia Consulting Vietnam receives personal data, it may process that data for client communication, project introduction, administrative coordination, compliance checks, referral to developers or professional advisers, and record keeping. Personal data may be shared with developers, lawyers, financiers, immigration advisors, tax advisors, valuation firms, payment processors and other relevant parties, including recipients located abroad, where necessary for these purposes and subject to applicable law and consent requirements. Where required, Arcadia Consulting Vietnam will obtain consent before collecting, using, disclosing, transferring or otherwise processing personal data.
PROJECT INFORMATION AND THIRD-PARTY SOURCES
Project information may be provided by developers, master agents, selling agents, valuers, architects, surveyors, lawyers, government authorities, online mapping providers including Google Maps or other mapping platforms, or other third parties. Where Arcadia Consulting Vietnam is subject to mandatory duties under applicable law in relation to information it provides, nothing in these notices excludes those duties. Arcadia Consulting Vietnam does not, however, assume responsibility for verifying third-party information beyond the scope required by applicable law or expressly agreed in writing.
PRIORITY OF DOCUMENTS AND LANGUAGE
Where this document is provided in more than one language, the Vietnamese version prevails regarding any matter concerning the marketing, introduction, and coordination services provided by Arcadia Consulting Vietnam. However, all final signed transaction documents concerning the overseas property (including reservation agreements, sale and purchase agreements, lease and property management agreements, title documents, mortgage documents or legal opinions) shall be governed by the language and jurisdiction expressly stated within those specific documents.
PRICING AND PAYMENTS
Unless expressly stated in a developer’s official written price list, prices are set by the developer and may vary by unit, release phase, incentive, market, currency, timing, availability and payment structure. Arcadia Consulting Vietnam does not set, hold, guarantee or control prices.
Any official payment or deposit is made directly to the developer or to the party named in the developer’s official payment instructions. Any brokerage or advisory fee is governed only by a separate written service agreement between the relevant parties.
IMAGES AND MEASUREMENTS
All images are provided for illustration. A completed property may differ in specification, layout and final appearance. Published room dimensions represent maximum measurements and include the area occupied by built-in appliances and fixed furnishings, and they should not be relied upon for the sizing of carpets, flooring, fixtures, equipment or furniture. Each unit should be confirmed against the developer’s official sales documents and, where appropriate, through the investor’s own professional advisers.
TAXES, DUTIES AND TRANSACTION COSTS
Taxes, duties, levies, government charges and transaction costs may be significant and vary by jurisdiction, property type, buyer profile, residence status, ownership structure, financing method, holding period, use of the property and timing of disposal. These costs may include stamp duty, land tax, property tax, transfer tax, registration fees, notary fees, legal fees, mortgage fees, bank charges, management fees, service charges, absentee owner surcharge, income tax, withholding tax, capital gains tax, inheritance or estate tax, vacancy charges, foreign buyer surcharges and other local or overseas charges.
Any upfront and transaction taxes, ongoing annual property holding taxes, federal and sales taxes, or transaction-cost quotation should be reviewed as part of the investor’s total acquisition, holding and disposal analysis. Such costs may materially affect affordability, net yield, resale timing, exit proceeds and overall suitability.
Arcadia Consulting Vietnam does not provide tax advice and does not determine, verify or guarantee any investor’s tax position. Each investor should obtain written advice from qualified/licensed tax advisors in Vietnam and in the jurisdiction where the property is located before making any reservation, signing any document, transferring funds, selecting an ownership structure, leasing the property, selling the property or transferring ownership.
RENTAL YIELD AND RETURN ILLUSTRATIONS
Any rental yield, rental range, occupancy estimate or return illustration is a projection only. It is based on assumptions that may include estimated rent, assumed occupancy, market comparables, exchange rates, developer data and third-party research available at the stated date.
Capital carries continuous market exposure. Historical performance does not model future outcomes. It may not account for all investor-specific costs unless expressly stated, including taxes and surcharges, service charges, ground rent if applicable, financing costs, repair costs, management fees, letting fees, vacancy, furnishing, insurance, currency movement, bank charges and resale costs.
Any rent guarantee, buyback arrangement, leaseback arrangement or fixed-return arrangement is effective only if set out in the final signed transaction documents issued by the responsible contracting party.
INDEPENDENT ADVICE
Each investor should carry out their own review and consult separately with qualified legal counsel, tax advisors, immigration specialists and properly authorized financial institutions before making, implementing or omitting any decision. For the purchase of property abroad, an independent lawyer qualified to practice in the jurisdiction where the property is situated should be appointed under a written engagement, and no reservation, signing of documents, payment or transfer of funds, filing or completion should proceed without that lawyer’s written review and confirmation.
LIABILITY
No employee, representative, introducer or other person is authorized to give any guarantee, warranty, assurance or confirmation on behalf of Arcadia Consulting Vietnam that is inconsistent with these notices, unless it is expressly confirmed in writing by an authorized signatory of Arcadia Consulting Vietnam.
Nothing in this document excludes or restricts any liability that cannot lawfully be excluded or restricted. Subject to that, and to the fullest extent permitted by applicable law, Arcadia Consulting Vietnam excludes implied terms, conditions and warranties arising from this document, and accepts no responsibility for loss arising from reliance on general marketing, indicative, projected or third-party information, except to the extent expressly agreed in a separate written service agreement. Arcadia Consulting Vietnam makes no representation or warranty as to the accuracy, completeness or reliability of the information, and any interested party should make their own inquiries.
ACKNOWLEDGEMENT
By proceeding to receive project information or coordination assistance, the investor acknowledges that they have read and understood these notices and will obtain independent professional advice before making any reservation, signing any document or transferring any funds.
GENERAL
If any provision of these notices is found to be unenforceable, the remaining provisions continue in effect. These notices may be updated from time to time, and the version in force at the date of issue applies. This publication is the copyrighted property of Arcadia Consulting Vietnam and/or its licensor.
